Something here is wrong about my company
Tell us and we will fix it. First, the one thing worth knowing, because it answers most of these in a sentence.
The money, the date and the names come from your own filing
We do not enter any of it. When a company sells stock or notes privately in the US it files a Form D with the SEC, and that form carries the amount sold, the offering size, the date, the address, the phone number and the executives, directors and promoters it names. We read the SEC's own file each morning and publish what it says.
So if a figure here looks wrong, it is almost always the figure on your filing. Every page on this site links to the original — look for View the SEC filing near the top of your company's page, which opens the document on sec.gov. Check it against what you see here. They will match.
We cannot change what a filing says, and we would not want to: the whole point of this site is that everything on it can be checked against a government record. Editing the number would make us wrong against the source we point at.
If the filing itself is wrong
That is between you and the SEC, and it is a normal thing to do: file an amendment (Form D/A) with the corrected figures. We read amendments the same morning they appear, and your company's page updates by itself. You never need to tell us.
Why your round shows a smaller number than you announced
A Form D reports what has actually sold as of the filing date, not what the round will be when it closes. A $10M round that has taken $4M so far files as $4M sold against a $10M offering — and we show both, and mark it still raising. The press release figure and the filing figure are often different, and the filing is the one that is sworn.
"We never announced this"
A Form D is a public filing, published by the SEC on its own website the day it is received. We republish and organise public records; we have no private information about anyone. If you would rather your round were not public, that is a question about the filing, not about this page.
A person's name
Anyone named in a filing can have their name taken off this site, no questions asked: ask here and it stops appearing within a day.
Now — is it our mistake?
These are ours, and we want to hear about them:
- The website or logo we matched to your company belongs to someone else.
- The business type or industry we tagged you with is wrong.
- A news link on your page is about a different company.
- Two companies have been merged into one page, or one company appears twice.
- Anything else that did not come from the filing.
Thank you — this is now on the list a person works through, and it is usually fixed within a day or two.
That did not go through. Email [email protected] instead and it will reach the same place.
We read every one of these. We do not remove a company's filing from the site on request — it is a public record, and the SEC publishes it whether we do or not.
