Questions

What people ask before they pay, answered straight — including the ones where the answer is "no".

Where does the data come from?

Directly from the SEC. Every US company raising money privately under Regulation D files a Form D, usually within 15 days of its first sale. We read the SEC's own daily index each morning, parse each filing, and publish it. We are not reselling anyone else's database: every company page links to the original filing so you can check us.

How fresh is it?

The SEC publishes each business day's filings that evening; the site has them the next morning, and Pro alerts go out at 8:30 AM Eastern. Not a monthly list, and not a list of last month's news.

How is this different from Crunchbase or PitchBook?

They are built on announcements -- press releases, news, investor reporting -- and they concentrate on venture-backed technology companies. Most Form D filings never get a press release at all, and most are not tech: restaurants, clinics, car washes, apartment deals, franchise operators. Those are invisible to a database built on the news, and they are most of what we list. The funding databases are also typically ten to several hundred times the price.

Do I get contact details?

Yes, on the paid plans: the phone number the company gave the SEC, and the executives, directors and promoters it named in the filing, with their roles. We also tell you how many of that company's filings named each person and when they last appeared, so you can tell a current officer from someone who was there three years ago. We do not sell email addresses, and we do not hold anyone's home address.

Can I just build this myself?

Honestly, yes -- it is public data. You would write a job that reads EDGAR's daily index, fetches each Form D's XML, and filters out the pooled funds and SPVs that file the same form as operating companies (that filter is most of the work, and getting it wrong is why naive scrapes are full of funds). Then you would add company websites, filing histories, business-type tagging and a way to search it. We did that; it took months and it runs every morning. If your time is worth less than $49 a month, build it.

What does a Form D NOT tell you?

Three things people expect and never find. It does not say who invested -- it names the company's own officers, not its backers. It does not say what the money is for; the "use of proceeds" box is only payments to the company's own officers and directors. And it does not say how many locations or employees a company has. Anyone selling you those as Form D filters is guessing.

Is the data accurate?

The filings are sworn to the SEC, so the names and the numbers are as the company reported them. That is not the same as true: amounts are self-reported, some companies file late, and an amended filing (Form D/A) re-reports an existing round rather than new money. We mark amendments, flag rounds still open, and link every page to the original.

Who is it for?

People who sell to, recruit for, lend to or invest alongside companies that have just been funded, and who care about timing. A company that filed on Tuesday has budget it did not have on Monday. Our subscribers are in software sales, recruiting, commercial property, equipment and services, insurance and professional services.

US only?

Yes. Form D is a US filing. Foreign companies appear only when they raise from US investors and file one.

Am I competing with other subscribers for the same leads?

In the sense that the data is the same for everyone, yes -- and anyone can read the filings free on EDGAR, so no list of this kind is exclusive. What differs is what you do with it: the filters you save, the business types you pick and how fast you call. We would rather say that than pretend a public filing is a secret.

Can I cancel?

Any time, from Stripe's billing page or the link in your receipt, and you keep access until the end of the period you paid for. There is a 7-day free trial first, so you can see a week of real alerts before paying. See the refund policy.

Something else?

[email protected] reaches a person, usually the one who built it.
